1. The Parties and Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Zarqnix Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at 9-14-1, SNo 5/2P F NO 504, Kotu Empire CBM Compound, Andhra University, Visakhapatnam, Andhra Pradesh – 530003, India ("Zarqnix", "we", "us", or "our").
By accessing zarqnix.com, verikred.com, or any of our associated services (collectively, "Services"), you confirm that:
- You have read, understood, and agree to be bound by these Terms
- You are at least 18 years of age
- You have the legal capacity to enter into a binding agreement
- If accessing on behalf of an organisation, you have authority to bind that organisation
If you do not agree to these Terms, you must immediately cease using our Services.
2. About Our Services
Zarqnix Private Limited builds software products that define their category. Our current services include:
- zarqnix.com: Our corporate website providing information about the company, job listings, blog content, and product information
- Verikred (verikred.com): A professional credential verification platform that computes cryptographically verifiable Trust Scores from employment history, educational credentials, GitHub activity, certifications, and peer confirmations
- Waitlist and pre-registration services for products under development
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without liability to you or any third party.
3. Eligibility and Account Registration
Our Services are available only to individuals who are 18 years of age or older and who are not barred from receiving services under the laws of India or other applicable jurisdictions. By creating an account or using our Services, you represent and warrant that you meet these eligibility requirements.
When registering for an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your information to keep it accurate
- Keep your credentials (username, password) confidential and secure
- Notify us immediately of any unauthorised use at security@zarqnix.com
- Accept responsibility for all activities under your account
We reserve the right to refuse registration or cancel accounts at our sole discretion.
4. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use our Services in any way that violates the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, or any other applicable law
- Submit false, misleading, fabricated, or fraudulent information including false credentials, forged documents, or impersonation
- Attempt to gain unauthorised access to any part of our systems or other users' accounts
- Use automated scripts, bots, scrapers, or other automated means without our prior written consent
- Transmit viruses, malware, ransomware, or any other malicious code
- Conduct denial-of-service attacks or other attacks that interfere with our Services
- Harass, abuse, threaten, or intimidate any person through our Services
- Infringe upon the intellectual property rights of Zarqnix or any third party
- Use our Services for any commercial purpose without our prior written agreement
- Reverse engineer, decompile, or disassemble any part of our Services
- Circumvent, disable, or otherwise interfere with security features
- Collect or harvest personal data of other users without their consent
5. User Content and Data
When you submit content to our Services (including job applications, evidence uploads, profile information, peer confirmations, or other user-generated content), you:
- Represent and warrant that you own or have the right to use such content and that it does not violate any third-party rights
- Grant Zarqnix a non-exclusive, royalty-free, worldwide licence to use, store, process, and display such content solely for the purpose of providing and improving our Services
- Accept full responsibility for the accuracy and lawfulness of the content you submit
- Acknowledge that we may remove or disable access to content that violates these Terms or applicable law
Zarqnix is not responsible for content submitted by users and does not endorse any user-submitted credentials, peer confirmations, or professional claims. Our Trust Score is a data-driven computation and should not be construed as a guarantee of professional competence or character.
6. Waitlist and Pre-Registration
Joining any product waitlist or pre-registration list does not guarantee access to any product or service, does not create a contractual obligation on Zarqnix to launch any product by any date, and does not constitute a binding commercial agreement. Waitlist position does not confer priority or guaranteed access. We reserve the right to modify or terminate any waitlist at any time without notice or liability.
7. Intellectual Property
All content, software, technology, trademarks, service marks, trade names, logos, and materials on our Services — including the Zarqnix name, the Verikred name, the Trust Score algorithm, and all associated code — are the exclusive property of Zarqnix Private Limited or our licensors and are protected under:
- The Copyright Act, 1957 (India)
- The Trade Marks Act, 1999 (India)
- The Patents Act, 1970 (India)
- The Information Technology Act, 2000 (India)
- Applicable international intellectual property laws
You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any of our materials without our prior express written consent. Nothing in these Terms grants you any right, title, or interest in our intellectual property.
8. Third-Party Services and Links
Our Services may integrate with or link to third-party platforms (such as GitHub, LinkedIn, Credly, or other credential providers). These third-party services are governed by their own terms and privacy policies. Zarqnix is not responsible for the content, practices, or availability of third-party services. Integration with a third-party platform constitutes your consent to that platform's terms and data sharing with Zarqnix for the purpose of credential verification.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that our Services will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of any content or information
- Warranties that our Services will meet your specific requirements
The Trust Score computed by Verikred is an algorithmic output based on available evidence and does not constitute a professional background check, legally certified credential verification, or a guarantee of any individual's skills or suitability for employment.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF INDIA, ZARQNIX SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill
- Any damages resulting from your inability to access or use our Services
- Any damages resulting from any content obtained through our Services
- Any damages resulting from third-party conduct or content
- Any damages resulting from errors or inaccuracies in Trust Score computations
In no event shall Zarqnix's aggregate liability to you for any and all claims exceed the amount actually paid by you to Zarqnix in the 12 months preceding the event giving rise to the claim, or INR 1,000, whichever is greater.
11. Indemnification
You agree to defend, indemnify, and hold harmless Zarqnix Private Limited and its directors, officers, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your violation of these Terms
- Your submission of false, fraudulent, or infringing content
- Your violation of any applicable law or regulation
- Your infringement of any third-party rights
12. Force Majeure
Zarqnix shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, government actions, natural disasters, pandemics, power failures, internet outages, or cyberattacks. In such events, Zarqnix shall notify affected users as soon as practicable.
13. Termination
We may terminate or suspend your access to our Services immediately and without notice, at our sole discretion, if we believe you have violated these Terms, applicable law, or if continued access poses a security risk to us or other users.
You may terminate your account at any time by contacting support@zarqnix.com. Upon termination, your right to access our Services ceases immediately. Provisions that by their nature should survive termination — including intellectual property, warranty disclaimers, indemnification, and limitation of liability — shall survive.
14. Governing Law
These Terms are governed by and shall be construed in accordance with the laws of the Republic of India, including but not limited to:
- The Indian Contract Act, 1872
- The Information Technology Act, 2000
- The Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020
- The Digital Personal Data Protection Act, 2023
15. Dispute Resolution
Informal resolution: Before initiating any formal dispute, you agree to contact us at legal@zarqnix.com and attempt to resolve the dispute informally. We will make reasonable efforts to resolve the dispute within 30 days.
Arbitration: If the dispute cannot be resolved informally, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Visakhapatnam, Andhra Pradesh, India. The proceedings shall be conducted in English and the award shall be final and binding.
Courts: Either party may seek injunctive or other equitable relief from the courts located at Visakhapatnam, Andhra Pradesh, India, which shall have exclusive jurisdiction over any disputes not subject to arbitration.
Nothing in this clause affects your right to approach the Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019, if applicable.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
17. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Zarqnix regarding your use of our Services and supersede all prior agreements, understandings, or representations relating to the same subject matter.
18. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email (where we have your email address) or a prominent notice on our website at least 15 days before the changes take effect. Continued use of our Services after the effective date constitutes your acceptance of the updated Terms.
